Seller does not have right, title, license or interest in any such software and firmware and does not represent its transfer to Buyer. Buyer acknowledges, represents and warrants that it is buying the equipment without any such representation of software or firmware from Seller. In order to make use of any software and firmware incorporated in any Equipment, Buyer represents and warrants that it will obtain the applicable rights thereto by contacting the manufacturer. Buyer will defend, indemnify, and hold Seller harmless from any claims or liabilities arising out of Buyer’s failure to obtain the necessary software license or to company with any required software or firmware license agreement.
